MOEDA SEMENTE does not buy or sell crypto assets. It only promotes, through the MOEDAPAY platform, closer relationships between users interested in converting MDA, MDABRL, MDALOYAL and BITCOIN crypto assets. Therefore, we are not responsible for transactions carried out by users, decisions they might take, and any consequence resulting from them, even if those decisions were made based on information obtained on the MOEDAPAY platform.
Users may only use the services offered by MOEDAPAY upon registration and acceptance of the rules written in these Terms. After registering on the MOEDAPAY platform, users declare that they have read and understood their rights and obligations, and also agree and will comply with all of the following provisions:

MOEDA SEMENTE’s MOEDAPAY is defined through its provision of the following services:
Innovative solutions designed to improve methods or models of businesses, services or products, be they incremental or disruptive in nature, as well as digital payment methods, a digital account, as well as capturing, transporting, and processing information and settling transactions, including other financial services using a QR CODE, cell phone or physical credit card.
Definitions and applications of the terminologies used by MOEDAPAY:
(Application) An App available for download from Android and iOS stores intended for installation at no cost and used on smartphones to manage the functional features of MOEDAPAY.
(Altcoins) are alternative cryptocurrencies to Bitcoin. Most altcoins emerged from some variations of the Bitcoin source code in order to modify some internal parameters of the Bitcoin network or add new features, depending on the purpose of each altcoin.
(API) Application Programming Interface. A set of functions and procedures defined by a piece of software for the use of its features by applications that do not intend to be involved in details of software implementation, but only use its services.
(Bitcoin) or BTC is a decentralized cryptocurrency or electronic money for peer-to-peer transactions (peer-to-peer electronic cash system) considered to be the world’s first decentralized digital currency becoming an alternative economic system. Bitcoin allows financial transactions to happen without intermediaries but verified by all users (nodes) of the network, which are registered in a distributed database, called blockchain.
(Blockchain) a technological base used by MOEDAPAY to ensure security, transparency and transactions on its platform through distributed and decentralized registries. It performs as a ledger in a public, shared and universal manner.
(Moeda Card) a prepaid credit card that can be used for transactions involving credit in Brazil and abroad with a chip that is used to process transactions in regular currency or cryptocurrencies as long its balance is topped-up by the user, because it depends on credit that is topped-up through the Moedapay account to function, and is offered with no annual or monthly fees. The Moeda card is the exclusive property of ACESSO (see item 9.1), and contains the identification number, period, magnetic strip, security hologram, expiration date and Cirrus logo on the face or back of the card. Its core functions are to make charges, top-ups, purchases, withdrawals, transfers and queries.
(Impact Cashback) is the term used to identify the reward program for cash back or incentives operated by Moedapay, in which: a percentage of the amount spent on various transactions can be refunded to the account holder, the holder can be rewarded through an exclusive action from the MOEDA SEMENTE ecosystem, or it can be used so that the user can contribute to social impact projects by making donations or direct transfers.
(Moedapay Account) a virtual account that enables all the functionalities of the application to be used for the payment of bills, deposits, transfers, receipt of payments, top-up the Moeda Card, top-up cell phones and other financial transactions in services offered through the MOEDA SEMENTE ecosystem, including contributions to foster social impact projects.
(Cryptocurrency) is a mean of exchange, which can be centralized or decentralized and that uses blockchain technology and cryptography to ensure the validity of transactions and the creation of new currency units.
(Cryptoassets) are digital currencies encrypted in blockchain that function as an asset or value within MOEDAPAY, including: MDA – A Moeda Semente Cryptocurrency with a variable market value; MDABRL – a Moeda Semente Cryptocurrency with a value paired to the Brazilian Real (1 MDABRL = R$ 1.00) with no market variation; MDALoyal – a Moeda Semente Cryptocurrency with a value paired in Brazilian Real specifically for subsidies, transfers to social impact projects, donations and investments in sustainability.
(Business Days) inside MOEDAPAY’s environment, are the working days: Monday, Tuesday, Wednesday, Thursday and Friday. Saturdays, Sundays and holidays are not considered working days (this applies to local, municipal, state or national levels).
(FIAT) Fiat Currencies are those that have their value guaranteed by an issuing government and not by physical goods or commodities. The strength and respect of each currency-issuing government are what determine the value of that type of money.
(QR CODE) is a two-dimensional barcode that can be easily scanned using most smart phones equipped with a camera. This code is converted into text, URL addresses (for access to websites), a telephone number, a geo-referenced location, an email, a contact or an SMS. Each Moedapay user has their own QR CODE for making different types of transactions, including making or receiving payments.
(PIN) a Personal Identification Number that is used as a password for transactions and payments in the Moedapay environment. The user must create their PIN at the time of opening their account to ensure the highest level of security in transactions.
(Platform) a virtual tool available in smartphone apps or through the Internet at www.moedapay.com for use of the services offered on MOEDAPAY.
(Stablecoins) are cryptocurrencies designed to minimize the volatility of the price of stablecoins in relation to some “stable” asset or basket of assets. A stablecoin can be pegged to a cryptocurrency, fiat currency or exchange-traded commodities.
(Token) a cryptoasset in the Moedapay environment that circulates with a particular value on our platform, which is often used for campaigns between user accounts and social impact projects.
(User) any individual, of legal age, or legal entity that intends to use MOEDAPAY as a payment method, wallet for cryptoassets or a digital account to make payments, receive payments, top-ups or contribute to social impact projects, and who are also users of the Moeda Card, to make payments, withdrawals or purchases online or offline.
(Wallet): A virtual wallet where the cryptocurrencies of Moedapay users are stored and that can also be defined as the digital account itself, which is also a type of digital wallet containing users’ transactions, data and balances.
MOEDA SEMENTE is committed to using all the technical solutions at its disposal to provide 24 (twenty four) hour per day, 7 (seven) days per week access to the service.
However, it may, at any time, disrupt, limit or suspend access to MOEDAPAY or certain pages within it in order to perform updates, changes to content or any other action deemed necessary for its proper functioning.
These general terms and conditions of use apply to all extensions of MOEDAPAY on social media or communities, for both those that currently exist and those that have yet to be implemented.
Entretanto, a MOEDA SEMENTE poderá, a qualquer momento, interromper, limitar ou suspender o acesso ao MOEDAPAY ou a algumas de suas páginas, a fim de realizar atualizações, modificações de conteúdo ou qualquer outra ação julgada necessária para o seu bom funcionamento.
Os presentes termos e condições gerais de uso se aplicam a todas as extensões do MOEDAPAY em redes sociais ou em comunidades, tanto as já existentes, quanto aquelas ainda a serem implementadas.
MOEDA SEMENTE will be responsible for any glitches or flaws that could occur in the services provided by MOEDAPAY, provided they were the cause. MOEDA SEMENTE will not be liable for technical or operational glitches or flaws generated in the user’s own system, but will be responsible for the information that was directly disclosed by them. Users will be solely responsible for any information included by them, such as comments and personal profiles.
The user is also responsible for:
a) the proper use of MOEDAPAY and its services, making sure to observe proper interactions, respect and cordiality in relationships with other users;
b) complying with the rules contained in this instrument, as well as the standards and regulations in Brazilian and international law.
- c) not violating any law, regulation or even this Term, nor engaging in acts against good market practices;
- d) the zeal and legality and not engaging in money laundering activities or not financing activities or organizations that involve terrorism, mafia or trafficking of drugs, people or human organs.
MOEDA SEMENTE will not be liable for:
a) the intrinsic characteristics of the Internet, most notably the reliability and origin of information that circulates on this network;
b) content or illegal activities committed through MOEDAPAY.
In addition to being a payment method, the MOEDAPAY platform offers users a solution for converting MDA, MDABRL, MDALOYAL and BITCOIN cryptoassets. Users will be able to convert tokens, altcoins, stablecoins or cryptocurrencies that are available in their personal account, transfer these assets to other MOEDAPAY accounts, as well be able to transfer MDABRL balances to third party bank accounts or to the user themselves through TED or DOC transfers (wire transfers).
MOEDAPAY makes it possible for users who wish to trade their own cryptoassets to connect by offering features that make these transactions easier and more secure.
The user understands, recognizes and accepts that the conversion transactions from MDA to MDABRL, MDABRL to MDA, MDA to BITCOIN, BITCOIN to MDA, BITCOIN to MDABRL or MDABRL to BITCOIN made within their MOEDAPAY account are performed at their sole responsibility and risk. Accordingly, at no time can MOEDA SEMENTE be held responsible for any losses, damages, impairments or loss of profits that could be incurred by users due to the conversion transactions executed or not executed through MOEDAPAY.
The user understands and agrees that the value of cryptoassets may fluctuate. Therefore, the value of these cryptoassets may be different from their value at the time of acquisition when they are converted. We recommend that users should verify the price of the cryptoassets available on MOEDAPAY or other Internet sources, including CryptoCompare, before effecting any transaction.
- The use of crypto, cryptocurrencies, tokens, stablecoins or altcoins available on MOEDAPAY
Neither MOEDA SEMENTE, nor the MOEDAPAY service, is a bank, a financial institution or an investment institution. Users understand and agree that they must remain well informed about the use, exchange or behavior of tokens, stablecoins or altcoins, their valuation, fluctuation, latency and other potential costs of cryptocurrency transactions before using MOEDAPAY for conversions, transfers or purchases.
This Term also hereby clearly states that MOEDA SEMENTE does not generate a Sales Order or Buy Order for cryptoassets through the MOEDAPAY platform. We merely provide a solution for converting MDA, MDABRL, MDALOYAL and BITCOIN cryptoassets within the MOEDA SEMENTE ecosystem itself.
The user declares to be aware that after the acceptance of their conversion, transfer or receipt transaction by other users, or even by the account itself, the transaction will be performed automatically and cannot be undone or modified.
MOEDA SEMENTE is neither a party, nor should be considered a party, in any of the transactions executed by users through MOEDAPAY and it will not be responsible for the actual fulfillment of the obligations assumed by users in these transactions.
The user is aware that the prices of MDA and BITCOIN, available in the balance of their cryptocurrency wallets, are provided by MOEDAPAY and may fluctuate. We therefore recommend that users also check cryptoasset prices available on MOEDAPAY at other Internet sources, including CryptoCompare, before making any transactions.
The quoted MDA price on the MOEDAPAY platform is based on the CryptoCompare quotation (www.cryptocompare.com) plus a 15% fee over its listed value to cover transaction costs. However, the value of crypto can vary, so it is possible that the price of these cryptoassets may differ at the time of conversions from their value at the time they were purchased.
To acquire MDA or BITCOIN through MOEDAPAY, the user must perform a conversion from MDABRL (R$) to one of these cryptoassets, subject to the value of the quote listed in the MOEDAPAY platform. The user is solely responsible for these transactions once accepting the conditions stated within this Term, and MOEDA SEMENTE is not responsible for fluctuations resulting from the processing of the conversion.
The conversion of cryptoassets by the user represents the irrevocable and irreversible acceptance, for all legal purposes, of the rate provided in MOEDAPAY so that, once accepted and performed by the user, the transaction to purchase MDA, MDABRL, MDALOYAL or BITCOIN will automatically take effect and cannot be undone or modified, and the user will be liable for any expenses and expenses caused by their possible withdrawal.
The user may, at any time, request that their MDABRL balance is transferred to their own bank account or to that of third parties through TED or DOC (Brazilian bank transfers), Boleto (Brazilian banking payment slip) or that their prepaid currency card is topped-up, observing the rates and terms established for each transaction.
Neither MOEDA SEMENTE, nor the MOEDAPAY service, is a bank, a financial institution or an investment institution. Prior registration is required to use MOEDAPAY, where the user must provide a valid cell phone number or email and create a login and password.
To carry out transactions in the MOEDAPAY environment, the user must verify their account using a valid document: if the user is a Brazilian individual, the verification will be made by uploading the user’s Identification Document and Taxpayer Identification Number (CPF); if the user is a Brazilian legal entity, verification is done through a Brazilian Registry of Legal Entities (CNPJ) and the managing partner’s official national identification document; if the user is a foreigner, verification is made through a valid Passport in accordance with international rules and Brazilian law.
Forwarding or uploading documents implicitly grants MOEDA SEMENTE with the authorization to access the aforementioned data. Approval of the registration does not imply a validation, acceptance or recognition of authenticity.
If there are any irregularities encountered in the completion of the form, such as missing information, incorrect data or improperly filled out fields, MOEDA SEMENTE
may suspend the user’s access to the registration area until the situation is resolved, and will not be liable for the automatic saving of any accumulated benefits or for saving the previous registration.
Personal data, access info and transaction data belonging to USERS are protected by the Privacy Policy established in MOEDAPAY.
The user ensures that all information provided is valid and accurate, and that the password provided is personal and non-transferable. The user is also responsible for updating the data provided, and the user is aware that the accuracy and veracity of this data are essential to the effective performance of MOEDAPAY.
MOEDA SEMENTE reserves the right to refuse, suspend or cancel registration whenever there is: (i) any violation of these terms; (ii) uncertainty or impossibility in verifying the user’s identity or misrepresentation; and (iii), illegal acts committed by the user that may, in any way, cause harm to third parties or to MOEDAPAY, or, even if no harm is committed, violates law. Any suspension or cancellation by the user will terminate existing operations.
Transactions must be made by the user through their individual login and password.
The “user name” (login) may not bear any resemblance to the names “MOEDAPAY”, “MOEDA”, “MOEDA SEMENTE”, “MOEDA SEEDS”, be immoral or offensive.
An individual or legal entity is expressly forbidden to hold more than one user account on MOEDAPAY.
MOEDAPAY may contain external links that redirect the user to other internet pages, which the editor has no control over.
Despite prior and periodic checks performed by the editor, he/she is released from any liability for the content found on these sites and services.
Links may be included on MOEDAPAY pages and documents, as long as they are not for marketing or advertising purposes. This inclusion will depend on prior authorization by MOEDA SEMENTE.
Pages that exhibit any type of illegal, violent, controversial, pornographic, xenophobic, discriminatory or offensive information will not be authorized.
The structure of MOEDAPAY, as well as the texts, graphics, images, photographs, sounds, videos and other computer applications that compose it, are the property of MOEDA SEMENTE or digital service providers that provide images, texts or videos on their digital content platforms, and are protected by Brazilian and international law related to intellectual property.
Any representation, reproduction, adaptation or partial or total use of the contents, brands and services offered by MOEDAPAY, by any means whatsoever, without prior written and express consent from MOEDAPAY, is strictly prohibited, and civil and criminal measures may be applied. Only those elements within MOEDAPAY that are expressly mentioned as copyright free are excluded from this clause. Access does not grant any intellectual property rights to the user related to elements of MOEDAPAY, which remain under the exclusive ownership of MOEDA SEMENTE. The user is strictly prohibited from including data in MOEDAPAY that can modify its content or appearance.
MOEDAPAY membership is subject to a user’s prior acceptance, according to their evaluation criteria. Once deciding to open a MOEDAPAY account, the user must submit all the requested documentation for analysis.
The user is willing to accept these terms and other protocols stipulated in the platform environment from the moment said user initiates the creation of their MOEDAPAY digital account. As such, this membership will become valid and take effect from the date that the user declares their acceptance of the terms and is able to perform transactions or use services on MOEDAPAY.
The user may not conduct transactions under conditions other than those contained in their registration application without authorization from MOEDA SEMENTE, nor perform activities that constitute an infringement of prevailing laws or regulations in the country or that are prohibited by partners of MOEDAPAY or MOEDA SEMENTE.
Upon agreement to these terms, the user will be unconditionally subject to all the rules and conditions currently in place, and to any other operational or safety conditions or rules that may be imposed by MOEDA SEMENTE or by current Brazilian laws.
By accepting these terms, the user acknowledges and agrees that MOEDAPAY:
- I) Is a product by MOEDA SEMENTE that functions as a payment method platform and is not recognized as a traditional bank account;
- II) Is a way to establish loyalty and connect its users to the other services within the MOEDA SEMENTE ecosystem, meaning that it is responsible for the user registration, for the leasing of electronic physical structures to collect, capture, process and settle financial transactions, transfers or operations exclusively in the MOEDAPAY environment that allows transfers between accounts, waiving (or not) administration fees, fee or no-fee transactions between cryptoassets and the availability of a Moeda prepaid card.
III) As a value-added product that works with various strategic partners, payment methods, exchanges, products and services, and that this activity includes the collection, capture or processing of MOEDAPAY digital account transactions and services, some usage, transaction, administration or subscription fees and any other charges due to MOEDA SEMENTE will therefore apply to the user in such cases.
- IV) Because it is not a card issuer, it does not retain records or information about holders on file. Therefore, it is not liable to the user for the accuracy of the information provided by the holders in conducting their transactions.
Acceptance or the mere use of MOEDAPAY assumes that the user is of legal age, and that the user has read, understands and is subject to the rights and obligations established in this term, its Annexes and Addendums. It also states that the terms herein do not preclude compliance with any legal provisions that may apply.
Due to the need to update, adapt or modify any internal, external or legal policies, this term may be amended, obliging the user to continuously remain up to date on these provisions.
If a user does not agree with the terms and provisions or Annexes and Addendums contained in this document, account activities will be terminated and the user will be excluded from their MOEDAPAY account.
In order to use all MOEDAPAY services, users must have a digital account created through a prior registration (MOEDAPAY Account) using their own working cell phone number or private email account, a password to access the MOEDAPAY account, a four-numeral Token to approve transactions involving transfers, payments or purchases, and additionally, if the Moeda Card is being used, a password for this card to be used in transactions, as well as in the approval of payments within MOEDAPAY if they are performed using the balance from the proper account (either in
Reais or Cryptoassets). Furthermore, users are permanently responsible for the registration data and information provided.
Verification of any documents by MOEDA SEMENTE does not confer the user any proof of good standing for any purpose, nor preclude additional verifications from being made if MOEDA SEMENTE deems it necessary.
According to its suitability and need, MOEDAPAY will carry on-going optimization and may require, at any given time, a temporary suspension of services to perform improvements. All modifications, improvements and corrections made, even if reported, requested and possibly paid for by the user, are incorporated into MOEDAPAY and subject to these terms.
MOEDA SEMENTE may create a forum for suggestions or complaints. Adopting suggestions is discretionary and does not, under any circumstances, generate any property rights, royalties or participation in such contributions or improvements.
Due to the commitment made in this item, the user hereby agrees with modifications, the roll out of new features, tools, improvements or corrections in the version that they use.
In compliance with the provisions of the legal system, users who engage in activities classified as crimes against industrial property are subject to the penalties of the crimes provided for in art. 12 of Law 9.609/98, notwithstanding civil liability for damages.
MOEDA SEMENTE shall not be liable:
a) For the results produced by MOEDAPAY, in the event that it is affected by some type of external program, such as those commonly known as viruses, or by an operational malfunction or data corruption;
b) For any defect that is the exclusive fault of the user;
c) For integrating the MOEDAPAY subscribed to with any other third party or user software;
d) For damages or losses resulting from administrative, managerial or commercial decisions taken based on the information provided by MOEDAPAY;
e) For problems in the user’s physical and logical network;
f) For any and all liability for possible losses and damages or consequential loss of profits in which the causes be directly or indirectly attributed to the supply, use or performance of MOEDAPAY;
g) For events defined in civil legislation as an act of God or force majeure;
h) For the dangerous or inappropriate use of MOEDAPAY by the user;
i) For technical factors that make it impossible to transfer data or download information from the MOEDAPAY subscribed to by the user or their respective versions, if any
This version of the agreement was last updated on: 02/26/2021. MOEDA SEMENTE reserves the right to modify these rules at any time, particularly to adapt them to any new developments at MOEDAPAY, either by making new features available or by suppressing or modifying those that already exist. The user will be explicitly notified in the event of any changes to this policy. When using the service after any modifications, the user declares their agreement with the new standards. In the event of any disagreements with the modifications made, the user should immediately discontinue using MOEDAPAY and submit their concerns to customer service, if they so desire.
The inability or mere dereliction in not enforcing any stipulations within this agreement does not constitute a waiver of rights, suppression or tacit acceptance of the policy.
This agreement binds the Parties and their successors under any title.
The unfeasibility of executing or invalidity of, even if due to a judicial decision, any clause will not invalidate the other clauses in this agreement, which will remain valid and enforceable according to its terms.
MOEDA SEMENTE reserves the right to amend this agreement at any time, with the user being notified of such changes upon acceptance of the new terms.
In order to settle disputes arising from this instrument, Brazilian law will be fully applied. Any disputes shall be filed in the jurisdiction where MOEDA SEMENTE is based.
O presente termo vincula as Partes e seus sucessores a qualquer título.
A inviabilidade da execução ou invalidade, ainda que em virtude de decisão judicial, de alguma cláusula, não afetará a validade das demais cláusulas deste termo, que permanecerá válido e executável conforme seus termos.
A MOEDA SEMENTE se reserva o direito de modificar o presente termo a qualquer tempo, sendo o usuário comunicado de tais alterações, mediante o aceite das novas disposições.
Para a solução das controvérsias decorrentes do presente instrumento, será aplicado integralmente o Direito brasileiro. Os eventuais litígios deverão ser apresentados no foro da comarca em que se encontra a sede da MOEDA SEMENTE.
